By clicking “I Agree” or by accessing or using the Portal, you acknowledge that you have read, understood, and agree to comply with these Terms of Use and Confidentiality Agreement (“Terms”) which apply to your use of this training portal provided by BW Packaging (“BW”).

1. Account Registration and Security

Access to the Training Portal is limited to authorized users. Login credentials must not be shared or used to provide access to unauthorized persons.

Any known or suspected unauthorized access, use, copying, recording, disclosure, or distribution of Training Content should be reported promptly to BW Packaging.

2. License to Use the Portal

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Portal and its content solely for training and supporting your company’s personnel who operate, maintain, troubleshoot, service, or otherwise work with BW Packaging equipment, products, and services.

3. Confidential and Proprietary Information

You acknowledge that the Portal and all content made available through it, including without limitation videos, demonstrations, photographs, manuals, documents, troubleshooting guides, procedures, diagrams, graphics, technical information, instructional materials, and other content (“Training Content”), contain confidential, proprietary, and/or copyrighted information belonging to BW Packaging or its licensors. Non-public pricing, specifications, processes, and other materials that are marked or reasonably understood to be confidential are also confidential (together with the Training Content, “Confidential Information”).

You must use Confidential Information only for the training purposes permitted by these Terms and must protect it from unauthorized access, use, copying, disclosure, or distribution. If you and BW Packaging have a separate agreement covering confidentiality, that agreement controls in case of conflict.

4. Restrictions and Prohibited Activities

Except with BW Packaging’s prior written authorization, you must not:

• record, download, copy, or otherwise reproduce any part of the Portal or Training Content;
• share, sell, sublicense, or otherwise make Training Content available to anyone outside your organization or otherwise unauthorized, including competitors;
• use Training Content to provide services to third parties or for any purpose other than authorized internal use with BW Packaging equipment;
• modify, translate, create derivative works from, or incorporate Training Content into other works;
• use automated tools, AI, or scraping to extract, analyze, or recreate Training Content;
• reverse engineer, interfere with, or circumvent (or attempt to circumvent) any security or access controls of the Portal or Training Content;
• upload malware or attempt to gain unauthorized access to any system or data;
• remove proprietary notices or attributions; or
• use the Portal for any unlawful purpose.

5. Intellectual Property

The Portal and all Training Content, including text, graphics, video, documentation, trademarks, and software, and all copyrights, trade secrets, know-how, and other intellectual property rights in them, are owned by BW Packaging or its licensors and are protected by intellectual property laws. Access to the Portal does not transfer or grant you any ownership interest or other intellectual property rights. No rights are granted except the limited access and use rights expressly stated in these Terms.

6. Training Content Disclaimer

Training materials are provided for general informational and educational purposes. They do not replace product specifications, safety data sheets, applicable regulations, or professional judgment. You are responsible for following all applicable laws, standards, and safety requirements in your operations.

7. Privacy and Personal Information

Your use of the Portal involves providing personal information. Our collection and use of that information is described in the BW Packaging Privacy Notice, which you acknowledge by accepting these Terms.

8. Availability and Changes

We may modify, suspend, or discontinue any part of the Portal at any time. We do not guarantee uninterrupted or error-free access.

9. Disclaimer of Warranties

THE PORTAL AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, BW PACKAGING AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE PORTAL. Nothing in these Terms limits liability that cannot be limited by law.

11. Indemnification

You agree to indemnify and hold harmless BW Packaging from claims, losses, and expenses (including reasonable attorneys’ fees) arising from your breach of these Terms or misuse of the Portal.

12. Termination and Return of Content

We may immediately suspend or terminate your access at any time, with or without notice, including upon any actual or suspected violation of these Terms, and without limiting any other rights or remedies available to us. Upon termination of access, you must cease all use of Training Content.

13. Remedies

Unauthorized recording, copying, use, disclosure, distribution, or commercialization of Training Content may cause BW Packaging substantial and irreparable harm for which monetary damages alone may be inadequate. BW Packaging may seek all remedies available under applicable law, including injunctive or equitable relief, in addition to any other available rights or remedies.

14. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you through the Portal or by email and may require you to accept the updated Terms before continuing. Continued use after the effective date of an update constitutes acceptance.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of Missouri, without regard to conflict-of-law principles. Any dispute will be brought exclusively in the state or federal courts located in St. Louis, Missouri, and you consent to their jurisdiction.

16. General

These Terms, together with the Privacy Notice, are the entire agreement regarding the Portal. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.

17. Electronic Acknowledgment and Acceptance

By selecting the acceptance checkbox during registration or access to the Portal, you confirm that you have read, understood, and agree to comply with these Terms of Use and Confidentiality Agreement, and that you acknowledge the Privacy Notice. Acceptance of these Terms is a condition of access to the BW Packaging customer training portal.
